These Terms & Conditions govern your use of the TennSocial website and any services, proposals, creative work, campaigns, digital deliverables, and related business interactions provided by TennSocial.
1. Acceptance of Terms
By accessing the TennSocial website, submitting an enquiry, requesting a proposal, purchasing services, or otherwise engaging with us, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our website or services.
2. Services
TennSocial may provide services including, but not limited to, branding, website design, UI/UX work, content creation, social media marketing, advertising, performance campaigns, strategy, consulting, and related digital solutions. All services are subject to project scope, availability, and mutual agreement.
3. User Obligations
- You agree to provide accurate and complete information when contacting us or placing an order.
- You must ensure that any materials, instructions, assets, credentials, or approvals provided to us are valid and authorised.
- You must not use our website or services for unlawful, fraudulent, abusive, or misleading purposes.
4. Proposals & Scope of Work
Any quotation, proposal, or estimate shared by TennSocial is based on the scope of work discussed at that time. Changes to requirements, timelines, deliverables, ad budgets, integrations, or approvals may result in revised pricing, timelines, or terms. Work outside the agreed scope may be billed separately.
5. Payments
- Payments must be made as per the agreed proposal, invoice, or contract terms.
- Advance payments, milestone payments, or recurring retainers may be required before work begins or continues.
- Unless otherwise agreed in writing, fees paid are non-refundable once work has commenced.
- Delayed payments may result in work suspension, delayed delivery, or withholding of final files until dues are cleared.
- Applicable taxes, platform charges, media spend, third-party subscriptions, and statutory levies may be charged separately where relevant.
6. Revisions & Approvals
Reasonable revisions may be included only to the extent expressly agreed in the proposal or package. Additional revisions, change requests, rework caused by delayed feedback, or fresh creative directions may attract extra charges.
Once you approve a design, copy, strategy, campaign setup, or deliverable, subsequent changes may be treated as a new task or revision request.
7. Intellectual Property
Unless otherwise agreed in writing, TennSocial retains ownership of its pre-existing methods, frameworks, templates, internal systems, concepts, process documents, strategy models, source files, design systems, and unpublished working files.
Final deliverables specifically created and fully paid for by the client may be licensed or assigned to the client as agreed in the relevant proposal or contract.
8. Client Materials
You remain responsible for the legality, accuracy, ownership, and permissions relating to any logos, text, photographs, videos, documents, music, product data, brand assets, credentials, or other materials you provide to us.
You grant TennSocial a limited right to use such materials only for the purpose of delivering the requested services.
9. Confidentiality
We will use reasonable care to keep confidential information shared during a project private and restricted to legitimate business use. This does not apply to information already public, independently developed, or required to be disclosed by law.
10. Third-Party Tools & Platforms
Our services may involve third-party tools, plugins, APIs, hosting providers, ad platforms, CRMs, payment gateways, email systems, analytics services, or social media platforms. Their availability, pricing, policies, and performance are outside our direct control.
TennSocial is not responsible for downtime, account restrictions, suspension, policy violations, algorithm changes, platform decisions, or third-party service interruptions.
11. Website Use
- You may use the website only for lawful purposes.
- You must not attempt to gain unauthorised access to the website, server, forms, email flows, or connected systems.
- You must not copy, scrape, reproduce, republish, or commercially exploit website content without prior written permission.
- We may suspend or block access where misuse, abuse, or suspicious activity is detected.
12. Disclaimers
Our website and services are provided on an “as is” and “as available” basis. While we aim to deliver quality work, we do not guarantee uninterrupted website access, error-free performance, specific commercial outcomes, fixed ranking results, lead volumes, sales conversions, or platform approvals unless expressly agreed in writing.
13. Limitation of Liability
To the maximum extent permitted under applicable law, TennSocial shall not be liable for any indirect, incidental, special, consequential, reputational, or loss-of-profit damages arising from use of the website or services.
Our total liability, if any, in relation to a specific service engagement shall generally be limited to the amount actually paid by the client for that specific service giving rise to the claim, unless otherwise required by law.
14. Termination
Either party may terminate a project or engagement subject to the terms of the proposal, contract, or invoice arrangement. Upon termination, all completed work, committed expenses, third-party charges, and work already performed shall remain payable.
15. Indemnity
You agree to indemnify and hold TennSocial harmless from claims, damages, liabilities, or expenses arising from materials, instructions, content, campaigns, permissions, legal non-compliance, or third-party rights issues caused by information or assets provided by you.
16. Governing Law & Jurisdiction
These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Subject to applicable law, disputes shall be subject to the jurisdiction of the competent courts in the location of TennSocial’s principal place of business in India.
17. Changes to These Terms
We may revise these Terms & Conditions from time to time. Updated terms will be posted on this page with a revised effective date. Continued use of the website or services after such updates constitutes acceptance of the revised terms.
